OF ALL-UKRAINE PUBLIC ORGANIZATION

“Ukrainian Committee of the Council of Museums “ICOM”

2008

 

  1. GENERAL PROVISIONS

 

  1. All-Ukraine Public Organization “Ukrainian Committee of the Council of Museums “ICOM” (hereinafter, ICOM Ukraine) is a non-commercial public organization established according to the Law of Ukraine “On Unions of Citizens” and other normative and legal acts of Ukraine as well as generally accepted principles and norms of the international law.
  2. The activity of ICOM Ukraine is performed in accordance with this Charter on the basis of self-determination, self-governance, legality, openness and equal rights of its members who united on the basis of common interests for implementation of the purposes indicated herein.
  3. ICOM Ukraine is established and is acting with all-Ukrainian status. The activity of ICOM Ukraine applies to the whole territory of Ukraine.
  4. ICOM Ukraine is free in the choice of the areas of activity within the limits stipulated by the current law of Ukraine and this Charter.

  1. OBJECTIVE AND TASK OF ICOM UKRAINE

 

  1. The objective of the activity of ICOM Ukraine is:

2.1.1. To facilitate the restoration and preservation of historical, cultural and natural heritage of Ukraine, to facilitate extensive development of museums and museum work and protection of common interests of its members.

ICOM Ukraine in the order set by the law facilitates:

2.1.2. encouraging and support the establishment of museum institutions, development and professional management of museums of various types;

2.1.3. ensure deep knowledge and understanding of the nature of functions and role of museums that act for the benefit of society and its development;

2.1.4. organization of cooperation and mutual assistance among museums and museum professionals in Ukraine and other countries of the world;

2.1.5. representation, support and spread of the interests of all categories of museum professionals;

2.1.6. development and expansion of knowledge in the area of museum science and other disciplines related to museum management and operation;

2.1.7. restoration and preservation of historical, cultural and natural heritage of Ukraine.

2.2 The task for ICOM in the order set by the law is:

2.2.1 facilitate the full-scope mutual exchange of cultural values between the countries, spiritual enrichment of nations, strengthening of peace and neighborhood;

2.2.2 facilitate the extensive exchange of experience between Ukrainian and foreign museums, information on their achievements and development, on their collections and forms of work, on measures on protection of monuments of history and culture, pieces of art, development of new scientific methods of research, restoration and conservation, preservation, etc.;

2.2.3 facilitate the learning and expansion of the advanced experience of foreign museums among Ukrainian museums, provide the information on international contacts of Ukrainian museums;

2.2.4 facilitate the development and strengthening of international cooperation among the museums and museum professionals from different countries;

2.2.5 protect the interests of its members;

2.2.6 facilitate the assistance to the museums in organization of proper keeping of museum objects and museum collections;

2.2.7 facilitate the identification and collection of museum objects and museum collections;

2.2.8 facilitate the organization of study of museum objects and museum collections;

2.2.9 facilitate the preparing of publications on museum objects and museum collections.

 

2.3. To perform its charter objectives and tasks, ICOM Ukraine in accordance with the current law performs the following activity:

2.3.1 in the order set by the law facilitates the exchange of exhibitions, materials, work experience between Ukrainian and foreign museums;

2.3.2. facilitates the usage of international means of communication to inform on the stolen museum values for the purpose of their finding and return to legal owners;

2.3.3. without the purpose of getting profit issues and distributes publications on museum work as well as performs other publishing activity through establishing of its own mass media;

2.3.4. facilitates the organization of cultural tourism through historical and reserve places of Ukraine;

2.3.5. performs non-profit cultural events related to popularization of achievements and values of Ukrainian culture;

2.3.6. cooperates with international governmental and non-governmental organizations dealing with the cultural issues;

2.3.7. takes part in public and political life of Ukraine;

2.3.8. conducts non-profit exhibitions, lectures, lotteries, auctions and other events in the order set by the law;

2.3.9. takes part in arranging and conduct of international scientific conferences, symposiums, seminars, round tables on the issues of museum activity;

2.3.10. makes proposals on development of normative and legal acts;

2.3.11. facilitates the organization and conduct of public revisions of draft laws, programs, decisions and other documents and normative acts related to the activity of museums;

2.3.12. facilitates the organization and conduct of lectures, seminars, trainings, conferences and other informational and educational events;

2.3.13. arranges and conducts public researches and competitions among the members of ICOM Ukraine;

2.3.14. facilitates the development and implementation of programs of exchange and training of museum professionals abroad;

2.3.15. interacts with national and foreign public organizations and international non-governmental organizations within the limits set by the current law;

2.3.16. facilitates the performance of expositional, exhibition, scientific and educational activity.

 

  1. LEGAL STATUS OF ICOM UKRAINE

 

3.1. ICOM Ukraine gets the status of a legal entity in the order set by the law.

3.2. ICOM Ukraine is established for undefined term.

3.3. ICOM Ukraine performs its activity according to the Constitution of Ukraine, the current law of Ukraine, this Charter and internal documents of ICOM Ukraine.

3.4. ICOM Ukraine has a separated property, independent balance sheet, opens accounts with banking institutions, including foreign currency accounts, owns proprietary and non-proprietary rights according to the current law of Ukraine.

3.5. ICOM Ukraine has round stamp and symbols the samples of which are approved by the Presidium. The symbols of ICOM Ukraine are registered in the order set by law.

3.6. ICOM Ukraine is liable under its obligations with all property in its ownership which can be enforced according to the current law of Ukraine.

3.7. ICOM Ukraine is not liable under obligations of its members and its members are not liable under obligations of ICOM Ukraine.

3.8. ICOM Ukraine according to the current law is entitled:

3.8.1. on its own behalf to act as a party of civil and legal relations, obtain proprietary and non-proprietary rights and obligations, to enter agreements necessary for achievement of the objective of the activity of ICOM Ukraine;

3.8.2. to be a claimant and a defendant in a court and in an economic court according to the current law of Ukraine;

3.8.3. to hire members of staff on the basis of job and civil and legal agreements;

3.8.4. represent and protect its legal interests and legal interests of the members of ICOM Ukraine in governmental authorities;

3.8.5. receive from power and management state authorities and local government the information necessary for implementation of its objective and tasks.

3.8.6. make proposals to power and management state authorities;

3.8.7. perform necessary economic and other commercial activity through establishment of commercial institutions and organizations with the status of legal entities, establishment of the enterprises in the order set by the law of Ukraine for the purpose of implementation of its charter objective and tasks;

3.8.8. to acquire and manage the property and other ownership for performance of its charter tasks in the order set by the current law of Ukraine;

3.8.9. to use own property and the property transferred to ICOM Ukraine in ownership or usage if it is necessary for achievement of the purpose of its activity;

3.8.10. to receive property and funds at expense of contributions (entering, regular, target and other contributions of the members), non-refundable financial aid, volunteer contributions, as well as passive income and proceeds from main activity of ICOM Ukraine;

3.8.11. to spread information on ICOM Ukraine, promote its ideas and objectives;

3.8.12. to establish mass media;

3.8.13. to establish or enter international, all-Ukrainian public (non-governmental) organizations, maintain direct international contacts and connections, sign respective agreements and take part in performance of the events that do not contradict to international obligations of Ukraine and this Charter;

3.8.14. to have other rights stipulated by the law of Ukraine;

3.8.15. the basis of ICOM Ukraine consists of local units (hereinafter, Units). The Units perform their activity according to the Charter of ICOM Ukraine and regulations approved and adopted by the Presidium;

3.8.16. the decisions on establishment or liquidation of Units are made by the Presidium of ICOM Ukraine;

3.8.17. Units of ICOM Ukraine act without a status of legal entity and legalize their activity through notification on establishment;

3.8.18. Units perform their activity on behalf of ICOM Ukraine. Responsibility for activity of the Units belongs to ICOM Ukraine.

 

4. MEMBERSHIP IN ICOM UKRAINE

 

4.1. Terms and procedure of acceptance of the members of ICOM Ukraine, termination of membership are defined by this Charter.

Membership in ICOM Ukraine is voluntary.

Membership in ICOM Ukraine can be individual and collective.

Members of ICOM Ukraine pay annual membership fee to ICOM Ukraine, the amount and procedure of such fee payment is defined by the decision of Presidium of ICOM Ukraine.

Members of ICOM Ukraine can be citizens of Ukraine, museum workers, cultural and scientific representatives, artists, architects, restorers, persons of other professions who achieved the age of 18 years and directly related to the work of museums if their total job experience in museums or organizations related to the activity of museums is not less than three years as well as University students future whose profession may be directly related to work in a museum. Membership in ICOM Ukraine of collective and individual members is defined by the respective regulation approved by the Presidium of ICOM Ukraine. Collective members can be teams from companies, institutions and organizations the operations of which are directly related to museum activity.

Collective members enter ICOM Ukraine through submission of the respective decision of the meeting of the team of a company, institution or organization submitted to the Presidium.

The basis for acceptance of individual members to ICOM Ukraine is written application of a person completed by a letter of support signed by at least two members of ICOM Ukraine and submitted to the Presidium of ICOM Ukraine.

Acceptance of the members of ICOM Ukraine is made upon the recommendation of Commission on acceptance of new members and upon the decision of the Presidium of ICOM Ukraine subject to payment of entrance fee the amount of which is defined by the Presidium of ICOM Ukraine.

Decision on acceptance to ICOM Ukraine or on refusal is made by the Presidium of ICOM Ukraine within three months from the day of application.

Decision on refusal of acceptance to ICOM Ukraine can be contested at the Conference of ICOM Ukraine the decision of which is final.

Membership in ICOM Ukraine terminates in the following cases:

  • volunteer termination of membership in ICOM Ukraine according to the submitted application;
  • exclusion from the members of ICOM Ukraine;
  • automatic termination of membership in ICOM Ukraine.

 

Volunteer termination of membership in ICOM Ukraine is made through submission of a written application of an individual member to the Presidium of ICOM Ukraine.

Volunteer leave of a collective member from ICOM Ukraine is made through submission of a respective decision of the team meeting.

Decision of the Presidium of ICOM Ukraine in case of volunteer termination of membership is not required. The date of termination of membership is the date of application.

Any member of ICOM Ukraine can be excluded from ICOM Ukraine upon the decision of the Presidium of ICOM Ukraine after the application of the Commission on acceptance of new members subject to one of the following factors:

  • disclosure of non-eligibility to membership in ICOM Ukraine, in particular, in case of loss by a member of ICOM Ukraine of professional connection with museums;
  • violation of obligations to pay entrance and annual membership fees during two years;
  • non-performance of charter obligations, including violation of the Charter as well as non-performance of the decisions of the Presidium of ICOM Ukraine or breach of the rules and norms adopted by the Conference of ICOM Ukraine, Presidium of ICOM Ukraine that are mandatory for all members of ICOM Ukraine;
  • communication of information which is not true or is unfairly presented and makes damage to the interests, honour and dignity or business reputation of ICOM Ukraine;
  • non-compliance by a member of ICOM Ukraine with the standards of ethical and professional behavior approved by the Conference of ICOM Ukraine.

 

Decision of the Presidium of ICOM Ukraine on exclusion from ICOM Ukraine is sent to the excluded member of ICOM Ukraine in written form. Decisions of the Presidium of ICOM Ukraine can be contested at the Conference of ICOM Ukraine. The decision of the Conference is conclusive.

 

4.2. Termination of membership occurs automatically and does not require a decision in the following cases:

-non-payment of membership fees for more than 2 (two) years;

- recognition a person incapable in the order set by the law;

- coming into force of guilty verdict towards a member of ICOM Ukraine who committed a willful crime in the area of museum activity;

- death of a person.

In case of leaving the ICOM Ukraine, entrance, membership and other fees are not refunded.

4.3. The title of “Honourable Member of ICOM Ukraine” is assigned upon request of the Presidium for special achievements of persons who worked for many years for ICOM Ukraine and made a material contribution to development of museum work in Ukraine. The decision of assigning of the title and respective individual benefits is made by the Conference of ICOM Ukraine.

4.4. Honourable members of ICOM Ukraine are released from payment of membership fees.

4.5. Members of ICOM Ukraine for exercising and representation of their rights can delegate their authority to other persons (representatives). Representatives are appointed on the basis of Regulation adopted by the Presidium of ICOM Ukraine.

 

5. RIGHTS AND OBLIGATIONS OF MEMBERS OF ICOM UKRAINE

 

5.1. Members of ICOM Ukraine have the right:

5.1.1. to take part in managing ICOM Ukraine through participation in the work of its bodies in the order stipulated by the Charter;

5.1.2. to elect and be elected to managing bodies of ICOM Ukraine;

5.1.3. to take part in the work of organizational units ICOM Ukraine;

5.1.4. to take part in conferences, seminars and other events arranged and conducted by ICOM Ukraine on the conditions approved by the Presidium or respective organizational unit of ICOM Ukraine within his/her sphere of competence;

5.1.5. to use all types of methodological, consultative and other assistance which can be provided by ICOM Ukraine on the conditions approved by management bodies of ICOM Ukraine;

5.1.6. to obtain methodological and organizational assistance in implementation of projects approved by ICOM Ukraine;

5.1.7. to require consideration of any issues related to the activity of ICOM Ukraine by the Conference;

5.1.8. to take part in discussion of all issues of the activity of ICOM Ukraine, submit proposals to ICOM Ukraine concerning the improvement of its activity;

5.1.9. to receive full and reliable information on the activity of ICOM Ukraine;

5.1.10. to get assistance from ICOM Ukraine for protection of his/her legal rights and interests on the conditions approved by the Presidium;

5.1.11. to leave ICOM Ukraine in the order and on the conditions stipulated by this Charter.

Members of ICOM Ukraine may also have other rights stipulated by the current law of Ukraine as well as be decisions of the Conference of ICOM Ukraine.

Members of ICOM Ukraine are obliged:

5.1.12. to comply with the requirements hereof, other internal documents of ICOM Ukraine and perform the decisions of the Conference, Presidium of ICOM Ukraine and other bodies of ICOM Ukraine that are mandatory for members of ICOM Ukraine and correspond to the current law of Ukraine;

5.1.13. to pay membership fees timely and in the established amount and order;

5.1.14. to take active part in achievement of objectives and tasks of ICOM Ukraine, in all ways to assist ICOM Ukraine in its activity;

5.1.15. not to allow any actions that discredit ICOM Ukraine;

5.1.16. to inform the bodies of ICOM Ukraine on the facts that may affect the activity of ICOM Ukraine as well as on the facts of violation hereof;

5.1.17. to undertake other obligations stipulated by the current law of Ukraine, this Charter and internal documents of ICOM Ukraine.

 

6. MANAGEMENT BODIES OF ICOM UKRAINE

 

6.1. Charter bodies of ICOM Ukraine are:

- Conference of ICOM Ukraine;

- Presidium;

- President;

- Executive bureau;

- Secretariat;

- Commission on accepting of new members;

- Revision Commission.

 

7. CONFERENCE OF ICOM UKRAINE

            The highest management body of ICOM Ukraine is Conference of ICOM Ukraine called by the Presidium as necessary but at least once a year. The Presidium sets the norm of representation of delegates from local units of ICOM Ukraine.

Extraordinary Conference of ICOM Ukraine can be called by initiative of the Presidium, the President or Revision Commission of ICOM Ukraine as well as on request of at least 50% of members of ICOM Ukraine.

7.1. The exclusive competence of the Conference includes:

- adoption of the Charter of ICOM Ukraine, making and approving of amendments and supplements thereto;

- exercising of the right of ownership for the property and funds of ICOM Ukraine;

- assigning of separate functions of managing of property and funds to its organizational units;

- election of the President, first Vice-President, Vice-Presidents, Presidium and Revision  Commission of ICOM Ukraine, approval of report on activity of Presidium and Revision Commission of ICOM Ukraine for the reported period and approval of the prospective plan of the work of ICOM Ukraine;

- making of decision on reorganization and liquidation of ICOM Ukraine, appointing of liquidation commission, definition of its authority and approval of liquidation balance sheet.

The Conference can consider and make decisions on any issues relating to the activity of ICOM Ukraine.

7.2. The meeting of the Conference is capable if the majority of delegates from total number of local units.

The Conference can discuss reports and information on relevant theoretical and practical issues concerning the development of museum studies and museum work in Ukraine and abroad.

Each delegate of ICOM Ukraine has one vote.

7.3. The decision of the Conference of ICOM Ukraine concerning the election of management and control bodies, making and approval of amendments and supplements to the Charter as well as reorganization or liquidation of ICOM Ukraine are made by a qualified majority of two thirds of votes of delegates from total number of local units present at the Conference of ICOM Ukraine.

On all other issues the decisions are made by a simple majority of votes of delegates present at the Conference of ICOM Ukraine.

The location of the Conference of ICOM Ukraine is defined by the Presidium of ICOM Ukraine.

Decisions made at the Conference of ICOM Ukraine are set forth in the minutes signed by the President of ICOM Ukraine and Responsible Secretary of ICOM Ukraine.

The delegates are advised on the calling of a regular meeting of the Conference of ICOM Ukraine by a written announcement or otherwise as defined by the Presidium of ICOM Ukraine at least 45 (forty five) days before the date of the meeting. In case of calling of extraordinary meeting the announcement shall be made at least 10 (ten) days before the date of the extraordinary meeting.

Draft agenda of the meeting of the Conference of ICOM Ukraine is proposed by the Presidium of ICOM Ukraine.

The meeting of the Conference of ICOM Ukraine is open for all delegates of ICOM Ukraine. The Presidium of ICOM Ukraine may invite to the meeting of the Conference of ICOM Ukraine honourable guests and observers who can take the floor but not entitled to vote. Distribution of any materials at the Conference of ICOM Ukraine is possible only upon the permit of the Chairman.

Any issue proposed for consideration by the Conference of ICOM Ukraine shall be submitted by its initiator in writing and sent to the Presidium of ICOM Ukraine at least 30 (thirty) days before the meeting of the Conference of ICOM Ukraine.

The President of ICOM Ukraine chairs the meeting of the Conference of ICOM Ukraine. In case of absence of the President at the meeting of the Conference of ICOM Ukraine, it is chaired by the First Vice-President. In case of absence of both President and First Vice-President at the meeting of the Conference of ICOM Ukraine, it is chaired by a person elected by the participants of the Conference of ICOM Ukraine.

The duties of the Chairman include:

  • conduct of the meeting of the Conference of ICOM Ukraine and ensuring of the order in the meeting room (including with the help of the persons appointed by the Chairman);
  • ensuring of compliance with the rules of the Conference of ICOM Ukraine and other regulations governing its work;
  • resolution of all procedural issues.

 

The work of the Conference of ICOM Ukraine is set forth in minutes. Keeping of minutes is done by a person appointed by the Chairman. The decisions of the Conference of ICOM Ukraine are included to the minutes or processed as a separate document.

 

8. PRESIDIUM OF ICOM UKRAINE

 

8.1. The Presidium of ICOM Ukraine is a senior collective management body during the period between the Conferences. The members of the Presidium are elected for 3 (three) years.

8.2. The Presidium consists of the President, First Vice-President, Vice-Presidents, Responsible Secretary and members of Presidium elected by the Conference.

8.3. The Responsible Secretary of ICOM Ukraine is appointed by the Presidium of ICOM Ukraine through open voting with majority of votes of persons included to the composition of Presidium.

8.4. The meeting of the Presidium is called by the President of ICOM Ukraine as necessary but at least on a six months basis. The meeting of the Presidium is deemed capable if more than half of the members of Presidium are present.

8.5. The decisions are made with simple majority of votes of the present members of the Presidium.

8.6. Heads of local units of ICOM Ukraine may take part in the work of the Presidium of ICOM Ukraine with the right of recommendation vote.

8.7. During the absence of the President of ICOM Ukraine his/her duties are performed by one of the Vice-Presidents appointed by the President or the Presidium of ICOM Ukraine.

8.8. The Presidium of ICOM Ukraine:

           8.8.1. manages the activity of ICOM Ukraine during the period between the Conferences.

8.8.2. ensures the performance of decisions of the Conference;

8.8.3. establishes regular and temporary expert commissions of ICOM Ukraine as well as other public consultative bodies of ICOM Ukraine, coordinates their activity, approved their regulations and appoints their managers;

8.8.4. calls the Conferences of ICOM Ukraine;

8.8.5. approves the plans of main events, target and other programs, makes current planning of work;

8.8.6. approves annual estimates of income and costs of ICOM Ukraine, defines the sources and amounts of funding of current activity;

8.8.7. voluntary and within the effective law makes decisions on entering the unions, societies, associations, on signing of agreements on cooperation and mutual assistance for the purpose of successful performance of charter tasks;

8.8.8. makes decisions on establishment of local units of ICOM Ukraine and approves Regulation thereon;

8.8.9. makes decisions on acceptance to the members of ICOM Ukraine. In case if there are more than three weeks remaining to the nearest meeting of the Presidium, the decision is made by Executive bureau of ICOM Ukraine.

8.8.10. approves the composition of Commission on accepting of new members of ICOM Ukraine, approves its regulation;

8.8.11. approves the structure, staff schedule and rules of internal work discipline of the members of staff of the Secretariat of ICOM Ukraine;

8.8.12. delegates to one of Vice-Presidents and the Responsible Secretary the right to manage the property of ICOM Ukraine within the approved estimates;

8.8.13. approves annual reports of Revision Commission of ICOM Ukraine;

8.8.14. arranges cooperation of ICOM Ukraine and its members with governmental and public organizations in Ukraine and abroad;

8.8.15. resolves any issues of the activity of ICOM Ukraine except those included to exceptional competence of the Conference.

 

9. PRESIDENT OF ICOM UKRAINE

 

9.1. President of ICOM Ukraine and Vice-Presidents, including the First Vice-President, are elected by the Conference from its members for the term of three years.

9.2. The President of ICOM Ukraine:

9.2.1. is the senior officer of ICOM Ukraine;

9.2.2. manages the activity of the Presidium of ICOM Ukraine;

9.2.3. manages the preparation of the issues to be considered by the Conference of ICOM Ukraine;

9.2.4. chairs the Conference of ICOM Ukraine;

9.2.5. submits the report to the Conference on the activity of the Presidium of ICOM Ukraine;

9.2.6. upon approval of the Presidium, represents ICOM Ukraine in the relations with governmental, public and other organizations both inside the country and abroad;

9.2.7. owns the right of signing of financial and other documents of ICOM Ukraine;

9.2.8. can issue instructions, orders, assignments to all members of staff of the Secretariat of ICOM Ukraine;

9.2.9. calls the Presidium, Executive bureau of ICOM Ukraine and manages their meetings;

9.2.10. performs supervision over the target managing of the property of ICOM Ukraine;

9.2.11. control hiring and firing of the members of staff of the Secretariat of ICOM Ukraine;

9.2.12. performs operating management of property and funds of ICOM Ukraine;

9.2.13. performs any other legal and factual actions necessary for achievement of the objectives of ICOM Ukraine except for those that according to this Charter and the Law of Ukraine are in the area of competence of other management bodies of ICOM Ukraine.

 

9.3. Vice-Presidents of ICOM Ukraine:

9.3.1. in case of the absence of the President upon his/her instructions can conduct the meetings of the Presidium and Executive bureau of ICOM Ukraine;

9.3.2. upon the instruction of the Presidium represent ICOM Ukraine in Ukraine and abroad;

9.3.3. resolve other issues of current activity of ICOM Ukraine assigned to them by the President or Presidium.

 

10. EXECUTIVE BUREAU OF ICOM UKRAINE

 

10.1. Operating current work is performed by the Executive bureau of ICOM Ukraine which includes:

10.1.1. President of ICOM Ukraine;

10.1.2. Vice-Presidents of ICOM Ukraine one of which is the First Vice-President of ICOM Ukraine;

10.1.3. The responsible secretary of ICOM Ukraine.

10.2. Executive bureau is headed by the President of ICOM Ukraine. The meeting of Executive bureau is held as necessary but at least on a two months basis. The meeting of Executive bureau is deemed capable if more than a half of its members are present at it. All decisions of Executive bureau are made by open voting with a simple majority of votes of the bureau members. Executive bureau acts on the basis of regulation approved by the Presidium of ICOM Ukraine.

10.3. Executive bureau of ICOM Ukraine:

10.3.1. takes measures necessary for implementation of the decisions and resolutions, plans and programs approved by the Conference and Presidium of ICOM Ukraine;

10.3.2. performs control over the submission of the issues of activity related to the programs, plans, methods of ICOM Ukraine for consideration of the Presidium and the Conference of ICOM Ukraine;

10.3.4. makes necessary decisions in the interests of ICOM Ukraine that are subject of charter activity of ICOM Ukraine in the period between the meetings of the Presidium of ICOM Ukraine;

10.3.5. coordinates the activity of the Secretariat of ICOM Ukraine;

10.3.6. resolves other issues of the activity of ICOM Ukraine except for those that belong to the area of competence of the Presidium and the Conference of ICOM Ukraine.

 

 

11. SECRETARIAT OF ICOM UKRAINE

 

11.1. Current work of ICOM Ukraine is performed by the Secretariat of ICOM Ukraine.

11.2. Employees of the Secretariat are members of staff of ICOM Ukraine who are hired by the Responsible Secretary upon the instruction of the President and approval of the Presidium of ICOM Ukraine according to the provisions of the labor law of Ukraine.

11.3. The Secretariat of ICOM Ukraine acts on the basis of this Charter as well as Regulation approved by the Presidium of ICOM Ukraine.

11.4. The work of the Secretariat of ICOM Ukraine is managed by the Responsible Secretary of ICOM Ukraine appointed by the Presidium of ICOM Ukraine from the members of the Presidium.

11.5. Responsible Secretary of ICOM Ukraine:

11.5.1. arranges the work on performance of decisions of the Conference, Presidium and Executive bureau of ICOM Ukraine;

11.5.2. arranges the work of Secretariat;

11.5.3. opens accounts in the banks and acts on behalf of ICOM Ukraine;

11.5.4. manages the property of ICOM Ukraine upon the instruction of the Presidium;

11.5.5. prepares the materials to be considered at the meeting of the Presidium, Executive bureau and the Conference of ICOM Ukraine;

11.5.6. drafts annual estimates of ICOM Ukraine, plans of main events, target and other programs;

11.5.7. has the right of the first signature on banking documents of ICOM Ukraine, signs agreements and contracts with Ukrainian partners;

11.5.8. maintains regular connections with local units of ICOM Ukraine, regularly informs them on performance of work plans and current issues;

11.5.9. prepares conducting of events for implementation of the programs of ICOM Ukraine;

11.5.10. represents ICOM Ukraine in Ukraine and abroad.

 

12. COMMISSSION ON ACCEPTING OF NEW MEMBERS

 

12.1. The Commission on accepting of new members is elected by the Presidium of ICOM Ukraine for the three year term from the members of ICOM Ukraine;

12.2. The Commission considers applications on entering ICOM Ukraine, recommends to the Presidium of ICOM Ukraine to approve or decline the applicants to the members of ICOM Ukraine;

12.3. The Commission on accepting of new members is headed by one of Vice-Presidents of ICOM Ukraine. The Responsible Secretary of ICOM Ukraine is a member of the Commission of accepting of new members according to his/her position.

12.4. The Commission on accepting of new members of ICOM Ukraine acts on the basis of this Charter as well as the Regulation approved by the Presidium of ICOM Ukraine.

 

13. REVISION COMMISSION

 

13.1. To perform control over financial and economic activity of ICOM Ukraine, the Conference elects the Revision Commission from the members of ICOM Ukraine for the three year term in the number of three persons.

13.2. The activity of Revision Commission is managed by the Chairman elected at its meeting from the members of Revision Commission for the three year term.

13.3. Revision Commission of ICOM Ukraine performs control over the preservation of property of ICOM Ukraine, proper usage of monetary funds, accounting, reporting, controls the usage of estimates of costs of ICOM Ukraine, compliance with financial discipline.

13.4. Revision Commission of ICOM Ukraine as necessary but at least once a year makes revision of financial and economic activity of ICOM Ukraine and by results of revisions makes acts and gives them for approval to the Presidium of ICOM Ukraine and reports to the Conference of ICOM Ukraine.

13.5. The initiative of revisions performed by Revision Commission may belong to:

13.5.1. the Conference of ICOM Ukraine;

13.5.2. the Presidium of ICOM Ukraine;

13.5.3. Revision Commission itself;

13.5.4. members of ICOM Ukraine (at least 30 people).

13.6. Revision Commission is obliged to require calling of extraordinary meeting of the Conference of ICOM Ukraine in case of any serious threat to the interests of ICOM Ukraine.

 

14. PROPERTY OF ICOM UKRAINE

 

14.1. The ownership of ICOM Ukraine may include plots of land, buildings, premises, inventory, vehicles, property, money, shares, other securities and other property necessary for ensuring of its charter activity.

14.2. The ownership of ICOM Ukraine may include institutions, publishing houses, mass media established at expense of its funds in accordance with its charter objectives.

14.3. ICOM Ukraine in the order set by law can establish a charity fund for provision of financial, organizational and methodological and other charity assistance to museums and cultural institutions representatives of which are members of ICOM Ukraine.

14.4 The property of ICOM Ukraine is formed on the basis of:

14.4.1. entrance and membership fees;

14.4.2. non-refundable financial assistance and volunteer contributions provided by individuals and legal entities, including non-residents both in monetary and proprietary form;

14.4.3. passive income and proceeds from the companies and organization in the ownership of the Organization;

14.4.4. property and funds received by the Organization from its main activity.

Profits from activity of ICOM Ukraine can not be reallocated among the members of ICOM Ukraine and shall be used only for achievement of charter objectives.

14.5. The owner of the property of ICOM Ukraine is ICOM Ukraine in general. Each separate member of ICOM Ukraine has no right of ownership for a share of property belonging to ICOM Ukraine.

14.6. Membership fees to ICOM Ukraine shall arrive to ICOM Ukraine not later than on 1 February of the current year. Membership fees are used for current activity of ICOM Ukraine.

14.7. the manager of the property of ICOM Ukraine is the Conference, the Presidium or the President, one of Vice-Presidents and Responsible Secretary upon the decision of the Presidium.

 

15. ACCOUNTING AND FINANCIAL YEAR

 

15.1. The Secretariat of ICOM Ukraine keeps daily bookkeeping and statistic accounting in accordance with the procedure stipulated by the law of Ukraine.

15.2. Financial year of ICOM Ukraine matches calendar year.

 

16. PROCEDURE OF AMENDMENTS AND SUPPLEMENTS TO THE CHARTER OF ICOM UKRAINE

 

16.1. Amendments and supplements hereto are made by decision of the Conference of ICOM Ukraine. This decision is made by at least two thirds of votes of the delegates of ICOM Ukraine present at the Conference.

16.2. Amendments and supplements hereto are subject to state registration in the order set by the current law of Ukraine.

 

17. PROCEDURE OF REORGANIZATION AND LIQUIDATION OF ICOM UKRAINE

 

17.1. ICOM Ukraine can be liquidated:

17.1.1. by court judgment;

17.1.2. by decision of the Conference of ICOM Ukraine.

17.2. ICOM Ukraine can be reorganized through merger, joining, split, segregation or transformation.

17.3. Decision on liquidation or reorganization is made by the Conference of ICOM Ukraine with majority of 2/3 of votes of the present delegates with open individual voting. ICOM Ukraine can not be reorganized in profit organization. In case of reorganization its rights and obligations pass to its successor.

17.4. Liquidation of ICOM Ukraine is made by a liquidation commission appointed by the Conference of ICOM Ukraine, in case of termination of activity of ICOM Ukraine by court decision – by a liquidation commission appointed by the court.

17.5. Funds and property of ICOM Ukraine can not be reallocated among its members but shall be transferred to another non-profit organization of the respective type or credited to the income of state budget.
